Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the services, facilities, equipment, websites, booking systems, and related offerings provided by NorthStar Broadcast Studios (“NorthStar Broadcast Studios,” “we,” “us,” or “our”). By booking, accessing, or using any of our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services.

1. Introduction and Acceptance of Terms

These Terms form a legally binding agreement between you and NorthStar Broadcast Studios, located at 1200 W Georgia St, Vancouver, BC V6E 4R2, Canada. These Terms apply to all services we provide in connection with our TV-studio business, including any studio bookings, production support, technical services, and related deliverables.

By making a booking, signing a service agreement, paying an invoice, entering our premises, or otherwise using our services, you confirm that:

These Terms are intended to be interpreted in accordance with the laws of Canada and the Province of British Columbia, including applicable consumer protection, privacy, contract, and commercial laws.

2. Scope of Services

NorthStar Broadcast Studios provides professional broadcast and production services, which may include, without limitation:

We may also provide related services such as studio rental, technical crew support, equipment use, pre-production coordination, and post-session wrap-up assistance, subject to availability and separate quotation or agreement.

Unless expressly stated in writing, we do not guarantee any specific creative outcome, audience reach, broadcast approval, ratings, distribution, or commercial success. Any timelines, schedules, deliverables, or technical specifications are estimates unless expressly confirmed in writing by us.

We reserve the right to refuse, suspend, or terminate services where content, conduct, or requested use of the studio or equipment is unlawful, unsafe, defamatory, discriminatory, infringing, or otherwise inconsistent with our policies or operational requirements.

3. User Obligations and Responsibilities

You agree to use our services responsibly and in compliance with all applicable laws and these Terms. Without limiting the generality of the foregoing, you are responsible for:

You are responsible for any damage caused by you or your representatives to our premises, equipment, or third-party property, except to the extent caused by our gross negligence or wilful misconduct.

4. Payment Terms and Conditions

Fees for services will be set out in a quote, booking confirmation, invoice, or written agreement. Unless otherwise stated:

We may require prepayment for studio time, equipment, crew, or special production arrangements. Additional charges may apply for overtime, extended use, damage, cleaning, special setup, consumables, rush requests, or changes requested after confirmation.

Any estimate provided by us is based on the information available at the time and may change if the scope of work changes, if production conditions differ from those described, or if additional services are requested.

We reserve the right to withhold deliverables, access to recordings, or final materials until all outstanding amounts have been paid in full, subject to applicable law and any separate written agreement.

5. Cancellation and Refund Policy

Cancellations and rescheduling requests must be made in writing by email to [email protected] or by any other method we designate in writing.

Unless otherwise agreed in writing, the following cancellation terms apply:

If we must cancel or reschedule due to equipment failure, staffing issues, safety concerns, force majeure, or other circumstances beyond our reasonable control, we may, at our discretion, offer a rescheduled booking, credit, or refund of amounts paid for the affected portion of the services. This will be your sole remedy for such cancellation, to the extent permitted by law.

We are not responsible for losses arising from your failure to attend, deliver materials on time, secure talent, obtain approvals, or otherwise prepare for a booking.

6. Liability Limitations

To the fullest extent permitted by applicable law, NorthStar Broadcast Studios and its directors, officers, employees, contractors, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, reputational harm, or loss of opportunity, arising out of or related to your use of our services.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services, these Terms, or any booking will not exceed the total fees actually paid by you to us for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or CAD $1,000, whichever is greater, except where a greater limitation is prohibited by law.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is not permitted.

You acknowledge that studio production involves inherent risks, including but not limited to equipment malfunction, technical interruption, audio/video quality variation, lighting differences, and human error. We do not guarantee uninterrupted operation or error-free performance.

7. Intellectual Property Rights

As between you and NorthStar Broadcast Studios, each party retains ownership of its pre-existing intellectual property.

Unless otherwise agreed in a separate written agreement:

You represent that you have all rights necessary to provide us with any materials you submit and to authorize our use of those materials for the purpose of delivering the services.

Any unauthorized reproduction, distribution, modification, public performance, or commercial exploitation of our proprietary materials is prohibited.

8. Data Protection and Privacy

We collect, use, disclose, and retain personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws where relevant.

We may share personal information with service providers, payment processors, technical vendors, legal advisors, insurers, and other third parties as reasonably necessary to operate our business and provide services, subject to confidentiality and legal safeguards.

You are responsible for ensuring that any personal information you provide to us, including information relating to talent, guests, or crew, is collected and disclosed lawfully and with appropriate notice and consent where required.

We take reasonable administrative, technical, and physical safeguards to protect personal information, but no system is completely secure. To the extent permitted by law, we are not liable for unauthorized access or disclosure caused by events beyond our reasonable control, provided we have taken reasonable steps to protect the information.

9. Force Majeure

We will not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to:

If a force majeure event occurs, we may suspend or modify services without liability, and we will use commercially reasonable efforts to resume performance as soon as practicable. Any affected booking may be rescheduled, credited, or refunded at our discretion, subject to applicable law and any separate written agreement.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The revised Terms will be posted or otherwise made available with an updated effective date.

Your continued use of our services after the effective date of any revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services and, where applicable, request cancellation of future bookings in accordance with these Terms.

Changes will not retroactively affect bookings already confirmed under a separate written agreement unless required by law or agreed by both parties in writing.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them, the services, or any booking will be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Vancouver, British Columbia, will have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the services, except where applicable law requires otherwise.

If you are a consumer entitled to mandatory rights under applicable law, nothing in this section limits any non-waivable rights or remedies available to you.

13. Severability Clause

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

If any invalid or unenforceable provision can be modified to make it valid and enforceable while preserving its intent, the provision will be interpreted and enforced as modified to the extent permitted by law.

These Terms constitute the entire agreement between you and NorthStar Broadcast Studios regarding the subject matter herein, except where superseded by a separate written agreement signed by both parties.
